Why Choose IBA

Confidentiality

The information that an entrepreneur is considering the sale of their privately held company or family business will always be held in strict confidence by IBA when evaluating a potential representation project. We consider it a privilege to be brought into your confidence and promise not to betray that trust regardless of whether you select us for representation or not. It is our goal that employees, customers, vendors, and competitors do not learn about sale plans until our client’s elect to share them.

Why Choose IBA

Performance Based Fees

IBA is unique in the mergers & acquisitions community in our employment of a 100% paid on performance business model. Our objective is to be paid simultaneously with the payment from the buyer to our satisfied client upon completion of a sale.

Why Choose IBA

Knowledge & Experience

IBA has completed transactions in almost every community in the Pacific Northwest and many others throughout the United States. We have merged businesses into publicly traded companies and sold beloved neighborhood restaurants. All of this occurred in our storied history, however the benefit of this activity doesn’t occur in the past, but in the future in the form of the information and knowledge that we can pass onto our present clients.

Why Choose IBA

Comprehensive Marketing

Marketing a business for sale is a difficult task requiring skill, knowledge, and experience because on one level it is in a seller’s best interest to have the maximum number of potential buyers compete for the acquisition opportunity while on another ownership does not want anyone knowing a sale is being contemplated until it is completed. A professionally facilitated sale process includes non disclosure agreements, buyer financial vetting, and a controlled, thoughtful process for marketing and sharing information with potential buyers. In many cases, there is only one chance to get this right. Once the “Cat is out of the bag” in the public domain, it is VERY difficult to return it.

Why Choose IBA

Negotiations

When you hire an IBA professional you are hiring an ethical, experienced negotiator who has the knowledge base, problem solving ability, and communication skills required to complete a complicated business sale transaction on terms that achieve your goals. If agreement can be reached between a willing buyer and seller, we will reach it. Our 100% commission based compensation model banks on that performance and our past customers attest to it.

Why Choose IBA

Deal Facilitation

Successfully getting parties to “YES” on a Letter of Intent is a significant transactional achievement. It is not a completed transaction. A knowledgeable, experienced, highly skilled guide is needed at this point to navigate due diligence, legal documentation, equipment/real estate inspections, financing, and spectrum of other loose ends that need to be addressed prior to the transfer of ownership. 80 – 90% of IBA transactions annually where agreement is reached on a LOI close.

When it came time for us to sell our business, we didn’t know where to start. Who do we confide in? Who will listen to our needs, provide guidance and advice throughout the entire process? Who will understand the struggles of managing a busy life and support us along the way? Who will communicate with both efficiency and professionalism? Who will demonstrate grace and patience when deadlines are quickly approaching? Who has real life knowledge and experience with the unique aspects of restaurant ownership?
Upon meeting and interviewing Oliver Kotelnikov, at IBA, our questions were answered, and our concerns were put to rest. We felt respected and relieved to find a match for our needs! As we reflect on the entire process, we are grateful for the solid communication, the on-site visits, the much-needed education, and the freedom to ask questions and get clarification. Whatever fears and apprehension we held at the beginning of the process quickly faded.
Thank you, Oliver, for all the seen and unseen actions you pursued on our behalf, for building a bridge to the new owner, and for your genuine compassion when personal tragedy rocked our world.
It is without hesitation that our family recommends Oliver to represent your buying and selling needs.

    Joann Harris and Family

Sally Bergesen of IBA represented my husband and I in the sale of our 25+ year old family-owned business in the construction industry. What impressed me the most was her perseverance. There were multiple challenges, but with Sally’s diligence, we were able to overcome them.

Sally took the time to truly understand our business, the industry, and our specific goals, tailoring her approach to ensure the best possible outcome. I can’t even count the number of times she made the long drive south from Seattle to Vancouver to guide us through buyer meetings or just to offer emotional support.

We truly appreciate Sally’s genuine care for our success—not just closing the deal but ensuring both parties felt satisfied with the outcome. If you’re looking for a business broker who truly goes above and beyond, I can’t recommend Sally enough.

Oliver Kotelnikov of IBA was a true pleasure to work with in the sale of our restaurant business and the associated commercial property. His knowledge of the marketplace was apparent and his experience was obvious as it continually informed the process. Oliver proved to be a tough negotiator, yet was kind and respectful as he fielded any and all of our questions. We, the family of Judy Fu, the original owners of Judy Fu’s Snappy Dragon Restaurant, highly recommend him.
